Intellectual Property & Confidentiality

This policy describes how Aimlora Target and its clients should handle campaign materials, pre-existing tools, project deliverables, account data and confidential business information. A signed proposal or other written agreement may add project-specific terms. If it does, the more specific written term controls for that project.
Client Materials
The client retains ownership of materials it owned before the project or created independently of the service. Client materials may include names, logos, trademarks, product information, photographs, video, testimonials, price lists, customer data, website content and existing advertisements.
The client grants Aimlora Target a limited, non-exclusive permission to access, reproduce, adapt and use client materials only as reasonably necessary to perform the agreed service. This permission lasts for the project and any reasonable archival period. It does not transfer ownership to Aimlora Target.
Client Rights and Permissions
The client represents that it owns or has sufficient permission to use every material it supplies and to authorize its use in the project. The client must identify license limitations, attribution requirements, expiration dates, geographic limits and platform restrictions before work begins. Aimlora Target may decline or remove material that appears to infringe another party's rights.
Pre-Existing Materials
Aimlora Target retains ownership of methods, knowledge, processes, frameworks, checklists, templates, research structures, account organization systems, software, code, working notes and other materials developed before the project or developed independently for general use. These items are referred to as pre-existing materials.
If pre-existing material is embedded in a final deliverable, the client receives a non-exclusive license to use that embedded element as part of the final deliverable for the client's business. The client does not receive a right to resell, sublicense, extract or distribute the underlying tool or template as a separate product.
Final Deliverables
Final deliverables are the items expressly identified in the accepted scope, such as an audience plan, written audit, campaign configuration, targeting structure, optimization notes or final reporting summary. Drafts, alternatives, unused concepts, internal analysis, source working files and general operating tools are not final deliverables unless specifically listed.
Subject to full payment and any third-party restrictions, the client may use the final deliverables for its own lawful business and advertising activities. A project-specific agreement may provide broader ownership terms. No rights are transferred before all fees for the relevant deliverable are paid.
Platform Accounts and Data
The client retains ownership and administrator responsibility for its advertising accounts, business profiles, pixels, catalogs, audiences and first-party data, subject to platform terms. Aimlora Target receives only the access necessary for the agreed service and does not claim ownership of the client's account.
Platform-generated audiences, reports and automated assets may be governed by platform rules and cannot always be exported, transferred or used outside the platform. The client should maintain administrator access and its own copies of exportable records.
Third-Party Materials
Stock media, fonts, software, platform features, plugins, data sources and other third-party materials remain subject to their own licenses and terms. A service fee does not purchase ownership of a third party's intellectual property. The client is responsible for continued license fees or account subscriptions that are not expressly included in the scope.
Confidential Information
Confidential information includes non-public business plans, pricing, financial information, campaign performance, audience research, credentials, customer information, unpublished creative, internal operations and other information that a reasonable person would understand to be confidential from its content or the circumstances of disclosure.
Each party agrees to use the other party's confidential information only for the project, protect it with reasonable care, and disclose it only to persons who need it for the project and are subject to appropriate confidentiality duties.
Information Not Considered Confidential
Confidential information does not include information that the receiving party can show was lawfully known without restriction before disclosure, became public without breach, was received lawfully from another source without a duty of confidentiality, or was independently developed without use of the disclosed confidential information.
Required Disclosure
A party may disclose confidential information when required by valid law, court order or government process. When legally permitted, the receiving party should provide reasonable notice so the disclosing party may seek protective treatment. Disclosure should be limited to the information legally required.
Security and Credentials
Account access should be provided through official role-based or partner access whenever available. Clients should not place passwords, recovery codes, payment-card details or highly sensitive personal information into the general project request form. Each party remains responsible for its own devices, users, authentication and access controls.
Return and Deletion
Upon a reasonable written request after the project, each party will return or delete the other party's confidential information that is no longer required, subject to legal, accounting, security, archival and backup obligations. Information preserved in routine backups may remain protected until deleted in the normal backup cycle.
Portfolio and Publicity
Aimlora Target will not publish the client's non-public campaign data, private account screens or confidential strategy as a case study without permission. The client should state any additional publicity restrictions in writing. Publicly visible advertising may be observable to third parties and is not made private by this policy.
Feedback
General suggestions about service operation may be used to improve methods and processes, provided that Aimlora Target does not disclose the client's confidential information or represent the client's feedback as a public endorsement without permission.
Unauthorized Use
A party that becomes aware of suspected unauthorized use or disclosure of protected project material should notify the other party promptly and take reasonable steps to limit further harm. The remedies available for infringement or confidentiality breach are determined by the applicable agreement and law.
